Overview

Cornerstone Research staff have worked on dozens of matters arising from corporate transactions, including some of the largest and most groundbreaking cases brought to trial. We have analyzed economic, finance, and governance issues arising in mergers, acquisitions, asset sale and financing transactions, hostile takeovers, and other transactions. We have worked on these complex cases in federal and Delaware and other state courts. The types of issues that we have addressed include valuation of the enterprise, various securities, and direct and indirect benefits exchanged in corporate transactions; takeover defenses; corporate governance; breach of contract;  and allegations of market manipulation and insider trading in conjunction with corporate transactions. We have experience in all phases of corporate transaction litigation, from preliminary injunctions to post-transaction litigation and trial.
