Shaama Pandya leads teams in complex litigation and regulatory investigations related to securities, consumer finance, and valuation. Ms. Pandya has more than a decade of experience managing large teams in expert discovery, motion practice, and mediation and settlement negotiations, as well as trials and arbitrations.

Ms. Pandya has worked on matters in a variety of venues, including U.S. federal and state courts, the Delaware Court of Chancery, and international jurisdictions, notably in Latin America and Europe.

Securities

Ms. Pandya coheads Cornerstone Research’s securities litigation practice. In matters involving equity, debt, and derivative securities issued by public companies, Ms. Pandya consults on Rule 10b-5 and Section 11/12 claims and has also addressed economic issues related to Section 14 and Section 20A claims. In addition, she has analyzed securities issued by municipal entities, such as auction rate securities (ARS).

Ms. Pandya analyzes class certification issues (including market efficiency, price impact, and Comcast considerations), materiality, loss causation, inflation, and damages across a range of industries. She has also worked on cases involving foreign issuers and allegations related to the Foreign Corrupt Practices Act (FCPA).

Consumer finance

Across a range of regulatory and litigation matters, Ms. Pandya has consulted on issues involving mortgages, credit cards, auto loans, and checking accounts. She has worked on a variety of cases involving financial institutions in class actions and regulatory investigations by the Consumer Financial Protection Bureau (CFPB) and state regulators.

Ms. Pandya has addressed issues pertaining to breaches of contract, alleged violations of statutes such as the Telephone Consumer Protection Act (TCPA) and the Servicemembers Civil Relief Act (SCRA), overdraft (OD) fees, and the issuance and servicing of financial products.

Valuation

Her valuation experience spans complex issues arising in M&A transactions, private equity, and venture capital investments. Ms. Pandya has conducted discounted cash flow (DCF) valuations, assessed cash flow projections and discount rates, and evaluated comparable companies and transactions. She has also assessed corporate entities and transactions to evaluate material adverse change (MAC) issues; analyze companies’ solvency, financial position, and access to capital markets; and address appraisal questions.
