Indemnification

You agree to release, defend, indemnify, and hold harmless Cornerstone Research, its affiliates and licensors and their respective officers, directors, employees, contractors, agents, licensors and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) resulting from your violation of this Agreement or your use of any Content or information obtained from the website, including, without limitation, any use of the website’s Content, services, and products other than as expressly authorized in this Agreement. If you are a California resident, you waive California Civil Code Section 1542, which says: “A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor.” If you are a resident of another jurisdiction, in or outside of the United States, you waive any comparable statute or doctrine.

Governing Law and Jurisdiction; Waiver of Jury Trial and Class Actions

This Agreement and your use of the website shall be governed by the laws of California, without regard to its conflict of laws provisions.

Any legal suit, action, or proceeding arising out of, or related to, this Agreement or the website shall be instituted exclusively in the federal courts of the United States or the courts of the State of California, in each case located in or having jurisdiction over the City of Los Angeles, County of Los Angeles. You agree to waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

All claims must be brought in your individual capacity, and not as a plaintiff or class member in any purported class action, collective action, private attorney general action or other representative proceeding. This waiver applies to class arbitration, and, unless we agree otherwise, the arbitrator may not consolidate more than one person’s claims. You agree that you are waiving the right to a trial by jury or to participate in a class action, collective action, private attorney general action, or other representative proceeding of any kind. 

Limitation on Time to File Claims

Any cause of action or claim you may have arising out of or relating to this Agreement or the website must be commenced within one (1) year after the cause of action accrues, otherwise, such cause of action or claim is permanently barred.

Waiver and Severability; Complete Agreement

No waiver of any provision in this Agreement by Cornerstone Research shall be deemed a further or continuing waiver of such term or condition or any other term or condition, and any failure of Cornerstone Research to assert a right or provision under this Agreement shall not constitute a waiver of such right or provision.

If any provision of this Agreement is found to be void or unenforceable, such provision shall be severed and all other provisions shall remain in force.

This Agreement is the entire agreement between you and Cornerstone Research regarding the subject matter of this Agreement and supersedes any prior written or oral agreement.
