Ronald Gilson is an expert on the law and economics relating to corporations and securities. His work has focused on the law and economics of corporate governance and acquisitions along both comparative and domestic dimensions, and on the economic structure of transactions and complex contracting, including organizational design and venture capital contracting. He has testified in numerous cases, both in deposition and trial, and his scholarship has been frequently cited and followed by the Delaware Court of Chancery and the Delaware Supreme Court.
Professor Gilson is a fellow of the American Academy of Arts and Sciences and the European Corporate Governance Institute (ECGI). He received the ECGI’s De Brauw Blackstone Westbroek award for best working paper. Professor Gilson is the independent board chair for the American Century Investments Mountain View Funds, a family of mutual funds.
He has written major casebooks on corporate finance and corporate acquisitions. Professor Gilson has also authored more than ninety articles in law and economics journals, including the Harvard Law Review, the Yale Law Journal, the Stanford Law Review, the Columbia Law Review, the Journal of Institutional and Theoretical Economics, the Journal of Law, Economics and Organization, and the International Review of Law and Economics. He has written widely on U.S. and comparative corporate governance and on venture capital, and was a reporter of the American Law Institute’s Corporate Governance Project.
Before joining the Stanford faculty in 1979, Professor Gilson was a corporate partner in a San Francisco law firm.
