Dorothy Lund is an expert in corporate governance, corporate law, mergers and acquisitions (M&A), and securities regulation. The codirector of Columbia Law School’s Ira M. Millstein Center for Global Markets and Corporate Ownership, Professor Lund teaches, speaks, and writes on corporate law, corporate governance, securities regulation, and M&A. She has extensive corporate law and M&A experience, often central to matters involving board process and fiduciary duty issues.

In her research, Professor Lund has analyzed the interplay between financial flows, financing decisions, and institutional ownership within the U.S. equity market. She writes extensively about asset managers, with her recent work “Asset Managers as Regulators” published in the University of Pennsylvania Law Review and featured on the Private Law Podcast, the CLS Blue Sky Blog, and the Oxford Business Law Blog.

In addition, Professor Lund has examined the legal and financial dimensions of controller self-dealing in M&A, the future of proxy voting choice programs, the role of mutual funds in shareholder litigation, and how purpose contributes to the success of nonprofit entities.

Several of Professor Lund’s articles have been voted among the top ten corporate and securities law articles in the years they were published. Her work has appeared in the Journal of Corporation Law, Stanford Law ReviewColumbia Law Review, Texas Law Review, and Yale Law Journal Forum, among other leading law journals. She has coauthored several book chapters, as well as the leading casebook Corporations and Other Business Associations (Aspen Publishing). Professor Lund presents regularly at academic and professional conferences and has written for The Atlantic, Harvard Business Review, Bloomberg, the New York Times, and the Wall Street Journal.

At Columbia Law School, Professor Lund has taught courses in corporate law, law and economics, and M&A. She previously served as associate professor of law at the University of Southern California Gould School of Law. Professor Lund has also held visiting professorships at the University of Chicago Law School and the University of Pennsylvania Carey Law School.

Before entering academia, Professor Lund clerked for Chief Justice Leo E. Strine, Jr. of the Delaware Supreme Court and for Judge Joel M. Flaum of the US Court of Appeals for the Seventh Circuit. She also practiced corporate law at Sullivan & Cromwell in New York.
