In Kurt M. Roth v. Sotera Health Company, Vice Chancellor Will ruled in favor of our client on all counts.

After a Delaware Chancery Court bench trial, Vice Chancellor Lori Will declared judgment in favor of our client, Sotera, on all counts. Sotera retained Cornerstone Research to support Wayne Guay of the University of Pennsylvania. In her ruling, the Vice Chancellor cited Professor Guay numerous times.

Overview

The plaintiff, Kurt Roth, was a former executive who had resigned from Sotera, a provider of sterilization and lab testing equipment. Mr. Roth subsequently sued when some of his shares did not vest, alleging that Sotera acted in bad faith by refusing to properly calculate and recognize vesting of his restricted shares.

In her ruling, the Vice Chancellor cited Professor Guay numerous times.

Rebuttal Report and Testimony

The plaintiff’s experts opined on both Sotera’s purported intentional structuring of transactions to evade vesting, and damages assuming a “but for” world wherein Mr. Roth would have sold his shares shortly after four hypothetical vesting events. In his rebuttal, Professor Guay explained why it is economically rational for companies to impose vesting provisions in stock-based compensation. He also highlighted that neither of the plaintiff’s experts demonstrated that the vesting conditions were met and that their damages analysis had numerous errors and omissions, most notably failing to consider key contractual restrictions on trading.

Outcome

Vice Chancellor Will found in favor of Sotera on all counts. She cited Professor Guay’s report and testimony throughout her opinion, including on common industry practices with respect to share vesting around the time of an IPO, the economic rationale behind certain corporate finance transactions, and stock-based compensation as a tool for employee retention.
