In the Matter of US Foods and Services Group of America

Share

The FTC ordered US Foods to divest certain assets to complete its acquisition of SGA.

Retained by the Federal Trade Commission

The Federal Trade Commission issued a complaint alleging that US Foods Inc.’s proposed $1.8 billion acquisition of Services Group of America Inc. would violate federal antitrust law. The FTC retained Cornerstone Research to support Nathan Miller of Georgetown University.

The FTC alleged that the transaction would limit customers’ ability to switch between distributors to obtain better pricing and service. Under the consent agreement, US Foods agreed to divest three distribution centers. In September 2019, the parties completed the transaction.
