Jon Rozoff has led engagements in a number of the largest, most challenging litigation and regulatory matters. He regularly is retained in matters in which companies have major financial and reputational exposure. These have included numerous high-profile corporate and financial institution matters, each involving multiple high-stakes litigations in the United States and internationally, as well as multiple major regulatory inquiries in the United States and internationally.

For more than twenty-five years, attorneys have consulted with Mr. Rozoff on complex finance and business issues and engaged him in preparing expert analysis and testimony. He focuses on finance, securities, derivatives, and financial institutions and markets. He has developed objective, innovative analysis for motion practice, regulatory inquiries, trials, arbitrations, mediations, and settlements in domestic and international venues. He has consulted extensively in the context of internal board and corporate inquiries. Mr. Rozoff led our practices in financial institutions and intellectual property, which he helped to establish, and has served on the firm’s executive committee.

Clients have included major banks, private equity firms, hedge funds, insurers, and other financial institutions. In addition, Mr. Rozoff has been retained on behalf of life sciences, technology, energy, professional services, and other industrial firms. He has worked extensively with such law firms as Cravath, Swaine & Moore; Davis Polk & Wardwell; Paul, Weiss, Rifkind, Wharton & Garrison; Simpson Thacher & Bartlett; Sullivan & Cromwell; Wachtell, Lipton, Rosen & Katz; and other leading U.S. and international firms.

Corporate transactions

Have led our work on numerous matters, supporting the preparation of expert testimony, consulting to counsel, and achieving successful trial and other resolutions in Delaware Chancery Court and other venues. Led our team supporting the preparation of several expert reports and consulting with counsel successfully pressing for closing of the Twitter/Musk and Omni/Forward transactions. Successful trials have included: CSX v. TCI et al. and the Sovereign/Santander Shareholder Litigation; appraisal actions in Delaware Chancery Court including Hammons Hotels Shareholder Litigation and Doft v. Travelocity.com Inc.; and cases in other venues, including a Post-Merger Appraisal Trial Win, assessment of valuation, trading activity, corporate governance and control, and other issues.

Regulatory and internal inquiries

Extensive consultation with corporate counsel, law firm counsel, board members, and corporate staff to examine complex derivatives and other transactions, as well as other financial and business matters. Advice on identification and assessment of relevant issues and information.

Securities litigation

Dozens of matters in the U.S. and in a number for foreign venues. Litigation and regulatory inquiries. Work related to motions to dismiss, class certification, and for summary judgment. Issues involving equity, debt, and derivative instruments; analysis of price movements, trading behavior, risk, and valuation. Mr. Rozoff’s experience spans many industries, with particular emphasis on financial institutions, pharmaceuticals, high tech, and energy.

Financial institutions

Many matters related to hedge funds, private equity firms, venture capital firms, banks, insurers, securities firms, mutual funds, and others; analysis of valuation of financial institutions and firms they finance, securities, derivatives, risk management, computer systems and other operating issues, trading activity, lending, and other issues; wide range of matters involving securities, bankruptcy, tax, and product liability, among others.

Derivatives matters

Work on numerous high-profile matters involving collateralized debt obligations, credit default swaps, foreign exchange, interest rate, equity, and other derivatives; analysis of valuation, risk management, and performance relative to strategy.

Product liability

Extensive economic, statistical, and probability analysis of drivers and value of firm exposure in insurance coverage, bankruptcy, securities fraud, and other matters.

Bankruptcy-related

Numerous matters, including Lehman, EnronGlobal CrossingCharter CommunicationsAsarcoTousa, and others; additional work related to the failures of hedge funds, insurers, and banks; analysis of solvency, reasonably equivalent value, and other questions arising in fraudulent conveyance, trustee, and other actions.

International arbitration and litigation

Trials and arbitrations in foreign and international venues; project valuation, assessment of liability and damages, examination of international securities, derivatives, and other markets; expert discovery under different protocols.

Tax controversies

Work on numerous engagements, including successful trial and appellate efforts; analysis of economic substance of transactions, valuation of firms and investments, capital structure, sale versus loan transaction classification, international lease in–lease out transactions, international cost and profit allocation, and other issues.

Intellectual property

Extensive work on patent, copyright, and trade secret matters; liability and damages analysis related to economics, marketing, computer systems, accounting, and finance; emphasis on pharmaceuticals, computer software, and other innovative markets.

Nonprofit service

Mr. Rozoff is a member of the Board of Trustees of the United States Supreme Court Historical Society. He is also a member of the Board of Trustees of the Ethical Culture Fieldston School, where he chairs the Governance Committee and serves on the Executive Committee. He serves on the film and video curatorial acquisition committee of the Whitney Museum of American Art. Mr. Rozoff is a trustee emeritus of the governing Corporation of Brown University, where he serves on the Executive Committee of the trustees emeriti, served previously on the Corporation’s Advisory and Executive Committee, and chaired its Advancement Committee. He served as treasurer and member of the Board of Governors of the Brown Alumni Association, where he served on the Executive and Strategy committees and chaired the Finance Committee. He received Brown’s Ittleson Award for outstanding volunteer leadership.
